Toms Hive & Technology Innovations Ltd (“Toms Hive”, “we”, “our”, “us”) is a creative digital agency providing design, development, marketing, branding, digital strategy, and related services to clients locally and internationally.
By engaging our services, you (“the client”, “you”) agree to these Terms & Conditions.
All services are delivered based on the agreed scope defined in written communication, proposals, invoices, or contracts. Any request outside the originally agreed scope may require additional fees and timeline adjustments.
A project officially begins only after:
Written confirmation of agreement, and
Receipt of the required upfront payment.
Timelines provided are estimates and may be adjusted based on project complexity, client feedback, or unforeseen circumstances.
All fees are charged according to the agreed payment structure. Payments must be made on or before due dates stated in invoices or agreements.
Final deliverables, access credentials, or live deployment will only be released upon full payment. Late payments may result in project suspension until outstanding balances are cleared.
Each project includes a defined number of revisions as specified in the agreement. Revisions apply only to the original approved scope.
Requests that introduce new features, concepts, layouts, or functionality beyond the agreed scope will be treated as additional work and billed separately.
Clients are responsible for:
Providing accurate and complete content, assets, and information
Reviewing deliverables and giving timely feedback
Approving work stages within reasonable timeframes
Delays caused by the client may affect project timelines and delivery schedules.
Ownership of final deliverables transfers to the client only after full payment has been received.
Toms Hive retains the right to display completed projects in its portfolio, website, social media, case studies, and marketing materials unless otherwise agreed in writing.
All client information, materials, and project details are treated as confidential. We do not disclose client data to third parties without consent, except where required by law.
Toms Hive may work with or integrate third-party tools, platforms, plugins, hosting providers, or services. We are not liable for issues, downtime, changes, or failures caused by third-party providers beyond our direct control.
We are not responsible for delays caused by circumstances beyond our reasonable control, including but not limited to internet outages, server failures, platform changes, acts of God, or government actions.
Either party may terminate a project by written notice. Payments made for work already completed are non-refundable. Any outstanding balance for completed work remains payable upon termination.
Toms Hive shall not be liable for indirect, incidental, or consequential damages, including loss of profits, revenue, or data arising from the use of our services.
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without restricting our ability to work with international clients.
